Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) govern access to and use of the Domicile Cloud Compliance Engine (the “Service”), operated by Domicile Cloud (“we”, “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the institution you represent.

2. Description of the Service

The Service helps CBN-regulated payments institutions discover systems, vendors, and data flows; evaluate them against a defined set of regulatory rules derived from CBN Circular PSS/DIR/PUB/CIR/001/004 and related Nigerian data protection law; and generate readiness reports and evidence packs.

The Service is a compliance-support tool, not legal advice. Findings, readiness scores, and reports are generated from the data you provide or connect and are intended to help you identify and evidence compliance — they do not constitute legal advice, and using the Service does not guarantee regulatory compliance or approval by any regulator. You remain responsible for your institution's compliance obligations and should seek independent legal or regulatory counsel where appropriate.

3. Accounts and security

  • You must provide accurate information when creating an account and keep it up to date.
  • Multi-factor authentication is required on every account and may not be disabled.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • Organisation admins are responsible for managing who has access to their institution's workspace, including removing access when appropriate.
  • Notify us immediately at hello@domicilecloud.com if you suspect unauthorised access to your account.

4. Cloud connector access

If you connect an AWS, Azure, or GCP account, you grant the Service a read-only credential scoped by you to discover infrastructure metadata relevant to data-localisation rules. You control this connection and may revoke it at any time. We will not request or store write access to your cloud infrastructure.

5. Acceptable use

You agree not to:

  • Use the Service to store or process data you are not authorised to handle.
  • Attempt to gain unauthorised access to another organisation's data or accounts.
  • Interfere with, disrupt, or reverse-engineer the Service.
  • Use the Service in violation of applicable law.

6. Payments and billing

Paid assessments and subscriptions are billed via Paystack. Fees are as displayed at the time of purchase. Subscriptions renew automatically until cancelled; you can cancel at any time from Settings → Billing, effective at the end of the current billing period. Except where required by law, fees are non-refundable once a paid assessment has been initiated.

7. Intellectual property

We retain all rights to the Service, including its software, rule engine, and design. You retain all rights to the institution and inventory data you submit. We use your data solely to provide the Service to you, as described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or that findings will identify every possible compliance issue. Regulatory interpretation can evolve, and the regulation pack reflects our current understanding of applicable rules, reviewed periodically but not a substitute for your own legal review.

9. Limitation of liability

To the fullest extent permitted by law, Domicile Cloud will not be liable for any indirect, incidental, or consequential damages arising from use of the Service, including regulatory penalties, fines, or enforcement action, whether or not we were advised of the possibility of such damages. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months preceding the claim.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if these Terms are violated, or as needed to protect the Service or other users. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

11. Changes to these Terms

We may update these Terms as the product evolves. Material changes will be reflected by updating the “Last updated” date above; continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria.
